Terms of Service

These Terms of Service (“Terms”) are an agreement between you and BRBR GROUP LLC (“Notivo”, “we”, “our” or “us”), a limited liability company formed in the State of Wyoming, USA, based in Sheridan, Wyoming. They govern your use of notivo.com, the Notivo application at app.notivo.com, and related services (together, the “Service”): a private memory layer for people management. Please read them carefully.

1. Acceptance of these terms

By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf.

2. Who can use Notivo

Notivo is a professional tool intended for adults. You must be at least 18 years old to use the Service. You agree to provide accurate, current and complete information when you register, and to keep it up to date. You are responsible for your account and everything that happens under it.

3. Your account

To use most features you need an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Each account is for a single person or entity, and credentials should not be shared. Please notify us promptly at hello@notivo.com if you believe your account has been accessed without your authorization.

4. Your content and the notes you record about others

Notivo is a manager’s private notebook. You own the content you create: your notes, tags, people, tasks and related entries. You grant Notivo a limited, worldwide license to host, store, process, transmit and display that content solely as needed to operate and provide the Service to you. We claim no ownership of your content.

When you write notes, you may record information about other people, such as members of your team, colleagues or contacts (“Subjects”). You are responsible for doing so lawfully, fairly and for legitimate management purposes (capturing your own observations, not covert surveillance), and for providing any notices or establishing any legal bases your local law requires toward the Subjects you write about. Notes are private to your account by default; Notivo does not show your notes to the Subjects.

5. Acceptable use

You agree not to use the Service to:

  • break any applicable law or regulation, or infringe anyone’s rights;
  • harass, threaten, discriminate against, or unlawfully surveil any person;
  • infringe intellectual property or misappropriate confidential information;
  • upload or distribute malware, or otherwise interfere with the Service’s operation or security;
  • gain unauthorized access to the Service or other accounts, or scrape or harvest data without permission;
  • resell, sublicense or commercially exploit the Service without our written consent.

6. Notivo’s intellectual property

The Service, including its software, design, brand, logos and content (other than your content), is owned by Notivo or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to access and use the Service for its intended purpose. All rights not expressly granted are reserved.

7. Plans, pricing and payment

Notivo offers a Free tier and paid plans (currently Plus, Pro and Team). Current plan features and prices are shown on our pricing page. Paid plans are billed in advance through our payment processor, Stripe. You can cancel anytime; your access continues until the end of the current billing period, and we do not provide pro-rated refunds for partial periods unless required by law.

New accounts include a 14-day free trial of Notivo’s AI features, with no card required. Prices are exclusive of taxes, which may apply depending on your location. We may change pricing from time to time and will give you reasonable prior notice (for example, 30 days); any change will not affect the paid period you are already in.

8. Beta / early access

Some features are offered as early access or “when available” and may change, be limited, or be withdrawn at any time. These features are provided as-is, may be less reliable than generally available features, and you use them at your own discretion.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and your content is handled as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. Notivo helps you remember and organize information, but it does not make management, hiring or employment decisions for you. Those decisions, and their consequences, remain yours.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTIVO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL OR ANTICIPATED SAVINGS, arising out of or relating to your use of the Service. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service is limited to the total amounts you paid us, if any, in the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Notivo and its officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising out of or related to your content, your use or misuse of the Service, or your breach of these Terms, including any claim brought by a Subject relating to how you recorded information about them.

13. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The courts located in Wyoming will have jurisdiction over any dispute, subject to any non-waivable rights you have under the law of your place of residence. Before starting any formal proceeding, please contact us at hello@notivo.com so we can try to resolve the matter informally.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
